Terms of Service
1. Agreement to Terms
By accessing or using the OneTap platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree with any part of these Terms, you may not access the Service.
2. Description of Service
OneTap provides AI-powered customer service automation software, enabling businesses to manage, automate, and respond to customer communications across multiple channels. The Service includes but is not limited to email management, AI-assisted replies, automation workflows, and e-commerce integrations.
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials
- Promptly update your account information if it changes
- Accept responsibility for all activities that occur under your account
You must be at least 18 years old to create an account. OneTap reserves the right to suspend or terminate accounts that violate these Terms.
4. Subscription & Billing
Access to the Service requires a paid subscription after the initial free trial period. By subscribing, you agree to:
- Free trial: 14-day trial with full access, no credit card required
- Billing cycle: subscriptions are billed monthly in advance
- Payment: all payments are processed securely through our third-party payment provider (Stripe)
- Price changes: we will notify you at least 30 days in advance of any price increases
All fees are exclusive of applicable taxes (including VAT), which will be added where required by law.
5. Cancellation & Refunds
You may cancel your subscription at any time through your account settings or by contacting us.
- Cancellation takes effect at the end of your current billing period
- You will retain access to the Service until the end of the paid period
- No refunds are provided for partial billing periods
- We may offer refunds on a case-by-case basis at our discretion for exceptional circumstances
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Send unsolicited bulk communications (spam)
- Transmit malware, viruses, or any harmful code
- Attempt to gain unauthorised access to other accounts or systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to process data in violation of privacy laws, including GDPR
- Reverse engineer, decompile, or attempt to extract the source code of the Service
OneTap reserves the right to suspend or terminate your account immediately if we reasonably believe you have violated these terms.
7. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data.
You are responsible for ensuring that your use of the Service complies with all applicable data protection laws, including obtaining any necessary consents from your end customers before processing their data through OneTap.
Where OneTap acts as a Data Processor on your behalf, we will process personal data only in accordance with your documented instructions and our Data Processing Agreement (DPA).
8. Intellectual Property
The Service, including all software, design, text, graphics, and other content, is owned by OneTap and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the Service for your business purposes.
You retain all rights to the data you upload to or process through the Service. By using the Service, you grant OneTap a limited licence to store and process your data solely to provide and improve the Service.
9. AI-Generated Content
The Service uses artificial intelligence to generate suggested replies and automate customer communications. You acknowledge that:
- AI-generated content may not always be accurate or appropriate
- You are responsible for reviewing and approving AI-generated communications before they are sent on your behalf
- OneTap is not liable for any consequences arising from AI-generated content
- AI models may be updated or changed, which could affect the quality or style of generated content
10. Third-Party Integrations
The Service may integrate with third-party platforms (e.g., Shopify, Gmail, other email providers). When you connect a third-party account:
- You authorise OneTap to access and interact with that service on your behalf
- You are subject to the third party's own terms of service and privacy policy
- OneTap is not responsible for the availability or functionality of third-party services
- You may revoke access to third-party integrations at any time through your account settings
11. Service Availability
We strive to maintain high availability of the Service, but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or due to circumstances beyond our control.
We will make reasonable efforts to provide advance notice of planned downtime. We are not liable for any losses resulting from service interruptions.
12. Limitation of Liability
To the maximum extent permitted by law, OneTap and its officers, employees, and partners shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, business, or goodwill
- Any damages arising from your use of or inability to use the Service
Our total aggregate liability for any claims arising from the Service shall not exceed the amount you paid to OneTap in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless OneTap, its officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any content or data you process through the Service
14. Changes to Terms
We may modify these Terms from time to time. When we make material changes, we will notify you via email or a prominent notice on the platform at least 14 days before the changes take effect.
Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service and cancel your subscription.
15. Governing Law & Disputes
These Terms are governed by the laws of the Netherlands. Any disputes arising from or in connection with these Terms or the Service shall be submitted to the competent court in the Netherlands.
Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation.
